Terms of Use

1. Company Information
This Terms of Service agreement ("Agreement") is entered into by and between Pyinv GmbH, a company incorporated and existing under the laws of Germany, with its registered office at Carl-Friedrich-Gauß-Ring 5, 69124 Heidelberg ("Provider"), and the user ("Client").
2. Scope of Services
Provider offers software development services including, but not limited to, the design, development, deployment, and maintenance of software products, websites, and mobile applications. Detailed service scope shall be agreed upon in separate contracts or service orders.
3. Acceptance of Terms
By entering into a service agreement or using Provider’s services, the Client accepts these Terms in full. Deviations or additional agreements require written form and mutual consent.
4. Fees and Payment
Fees for services are set out in individual project offers or service agreements. All prices are in EUR and exclusive of statutory VAT. Payment terms are net 14 days unless otherwise agreed in writing. In case of delay in payment, Provider reserves the right to charge interest at the applicable statutory rate and suspend ongoing work until outstanding amounts are settled.
5. Intellectual Property
Unless otherwise agreed, the intellectual property rights to all deliverables shall remain with the Provider until full payment is received. Upon full payment, rights shall be transferred to the Client as specified in the agreement.
6. Confidentiality
Both parties agree to treat all information exchanged in connection with the services as confidential and not to disclose it to third parties unless legally required or with prior written consent.
7. Liability
Provider shall only be liable for damages caused by intent or gross negligence. Liability for slight negligence is excluded unless essential contractual obligations (Kardinalpflichten) are breached. In such cases, liability shall be limited to foreseeable, typical damages.
8. Data Protection
Provider processes Client data in accordance with the General Data Protection Regulation (GDPR) and applicable German data protection laws. Further details are available in our Privacy Policy.
9. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the Federal Republic of Germany. Place of jurisdiction is Heidelberg, unless mandatory statutory provisions provide otherwise.
10. Final Provisions
If any provision of this Agreement is or becomes invalid, the remaining provisions shall remain unaffected. Amendments or supplements must be in writing to be valid. This also applies to the waiver of the written form requirement.
